This wholesale website is operated by KetoSwiss Inc., a Delaware corporation, with offices located at 300 Delaware

Ave., Suite 210 #391, Wilmington, DE 19801 (“KetoSwiss,” “Company,” “we,” “us,” or “our”).

This website and its associated wholesale ordering platform (collectively, the “Site”) support the KetoSwiss wholesale

program for approved business and professional purchasers, including Authorized Clinic Partners. Public-facing

portions of the Site may be viewed by consumers or other visitors, including individuals seeking general information or

assistance locating an authorized clinic; however, wholesale accounts, ordering, and resale privileges are limited to

eligible and authorized business or professional purchasers.

By accessing the Site, creating or using a wholesale account, submitting an order, or purchasing Products through the

Site, you agree to these Wholesale Website Terms & Conditions (“Website Terms”).

These Website Terms govern use of the Site and orders placed through it. Participation in the KetoSwiss Authorized

Clinic Partner Program may also require execution of the Master Wholesale Clinic Agreement (“Master Agreement”)

and compliance with the current KetoSwiss Clinic Policies & Procedures (“Clinic Policies”).

If you are an Authorized Clinic Partner, the Master Agreement, applicable exhibits and addenda, and Clinic Policies

remain applicable to your relationship with KetoSwiss.

In the event of a conflict, the applicable signed Master Agreement controls over these Website Terms.

KetoSwiss may update these Website Terms from time to time by posting a revised version on the Site. Updated

terms will apply prospectively from their stated effective date, subject to any different requirements contained in an

applicable Master Agreement or required by law.

The site is hosted using third-party e-commerce and technology providers, which may include Shopify Inc.

1. WHOLESALE SITE ELIGIBILITY

The wholesale account and ordering functions are intended for legitimate business and professional use and are not a

general direct-to-consumer retail store. Public visitors may use designated general-information or clinic-location

inquiry functions made available by KetoSwiss.

Access to wholesale pricing, Products, educational resources, or other portions of the Site may be limited to

purchasers approved by KetoSwiss.

KetoSwiss may require information reasonably necessary to establish or maintain a wholesale account, including:

• legal business name;

• business and shipping addresses;

• contact information;

• resale or tax-exemption documentation;

• business registration information;

• professional credentials or licensure, when applicable;

• authorized clinic locations;

• executed agreements or acknowledgments;

• other information reasonably required for participation in the wholesale program.

KetoSwiss may approve, deny, suspend, restrict, or terminate wholesale account access in accordance with the

Master Agreement, Clinic Policies, these Website Terms, or other applicable Company requirements.

2. ACCOUNT RESPONSIBILITY

You agree to provide accurate, current, and complete account information and to promptly update information that

changes.

Wholesale account credentials are intended solely for the approved account holder and its authorized personnel.

You are responsible for maintaining the confidentiality and security of your login credentials and for activity conducted

through your account.

You may not share wholesale account credentials, wholesale pricing, confidential Company materials, or restricted

Site content with unauthorized third parties.

You must promptly notify KetoSwiss if you become aware of unauthorized access to or use of your account.

3. AUTHORIZED CLINIC PARTNER REQUIREMENTS

Access to the wholesale Site does not by itself establish Authorized Clinic Partner status.

Where required by KetoSwiss, participation in the Authorized Clinic Partner Program becomes effective only after

completion of Company onboarding requirements and approval by KetoSwiss, which may include execution of the

Master Wholesale Clinic Agreement and acceptance of the current Clinic Policies.

Authorized Clinic Partners must continue to comply with the Master Agreement, Clinic Policies, Product labeling,

Approved Materials, and applicable laws and professional requirements.

Nothing on the Site creates an exclusive territory, franchise, partnership, joint venture, employment relationship,

agency relationship, referral relationship, commission arrangement, or other relationship beyond the relationship

expressly established by the applicable written agreement with KetoSwiss.

4. ORDERS AND ACCEPTANCE

Orders may be submitted through the Site by authorized representatives of an approved wholesale account.

Submission of an order does not constitute acceptance by KetoSwiss.

All orders are subject to Company acceptance, Product availability, account status, payment authorization, applicable

minimum-order requirements, shipping restrictions, and other applicable Company requirements.

KetoSwiss may accept, reject, limit, allocate, hold, or cancel an order, in whole or in part, as permitted by the Master

Agreement or applicable Company policies.

KetoSwiss may fulfill an accepted order in one or more shipments.

An automated order confirmation acknowledges receipt of an order and does not necessarily constitute final

acceptance of the order.

5. PRODUCTS AND AVAILABILITY

Products offered through the Site are subject to availability.

KetoSwiss does not guarantee continued availability of any Product and may add, discontinue, modify, reformulate,

allocate, delay, substitute, or limit Products in accordance with the Master Agreement and applicable Company

policies.

Product images displayed on the Site are provided for reference. Packaging, labeling, appearance, or other non-

material Product characteristics may change from time to time.

Nothing contained on the Site independently establishes or modifies the regulatory classification, intended use,

labeling, or permitted claims applicable to any Product.
